TERMS OF USE

Effective Date: 10 July, 2025

1. ACCEPTANCE OF TERMS

By accessing or using the Livestoq platform (the "Platform"), including any mobile application or website operated by Livestoq LLC, you expressly acknowledge and agree that you are entering into a legally binding agreement with Livestoq LLC and its licensor, Advanx Capital Holding LLC, and that you are bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the Platform.

2. THE PLATFORM & OPERATING ENTITY

The Platform is operated and managed on a day-to-day basis by Livestoq LLC, doing business as (DBA) Livestoq, under a license granted by Advanx Capital Holding LLC, an Idaho limited liability company. All right, title, and interest, including all intellectual property rights in and to the Platform, remain the exclusive property of Advanx Capital Holding LLC.

3. USER ACCOUNTS

You agree to provide true, accurate, and complete registration information and to maintain the confidentiality of your account credentials. You accept full responsibility for all activities that occur under your account.

4. USER CONTENT & LICENSE

You retain all ownership rights in the data, images, documents, and other content ("User Content") you submit or upload to the Platform. By submitting User Content, you grant Livestoq LLC a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, process, reproduce, and display your User Content solely as necessary to operate, maintain, and improve the Platform. You warrant that you have all rights required to grant this license.

5. SUBSCRIPTIONS & PAYMENTS

Access to certain features of the Platform may require the payment of subscription fees. By enrolling, you authorize Livestoq LLC to charge your selected payment method on a recurring basis consistent with any disclosed automatic renewal terms. You may cancel your subscription through your account settings at any time, with termination effective at the end of the current billing cycle. Unless expressly stated otherwise, all subscription fees are non-refundable, including after cancellation. We reserve the right to adjust pricing upon reasonable notice.

6. OWNERSHIP OF INTELLECTUAL PROPERTY

All intellectual property rights in and to the Platform, including its software, design, features, trademarks, and underlying technology, are the sole and exclusive property of Advanx Capital Holding LLC. Livestoq LLC operates the Platform under license. Users receive a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely in accordance with these Terms.

7. PRIVACY

Your use of the Platform is also subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to our data practices as outlined therein.

8. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. LIVESTOQ LLC AND ADVANX CAPITAL HOLDING LLC EXPRESSLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LIVESTOQ LLC, ADVANX CAPITAL HOLDING LLC, OR THEIR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUE, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL LIABILITY OF LIVESTOQ LLC AND ADVANX CAPITAL HOLDING LLC FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID, IF ANY, FOR USE OF THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THIS LIMITATION EXPRESSLY PROTECTS ADVANX CAPITAL HOLDING LLC FROM ANY AND ALL LIABILITY TO THE FULLEST EXTENT PERMITTED BY LAW.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Livestoq LLC, Advanx Capital Holding LLC, and their respective affiliates, officers, directors, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to (a) your use of the Platform; (b) your User Content; or (c) your violation of these Terms.

11. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of laws provisions. Any disputes shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules in Idaho. YOU EXPRESSLY WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION. IF YOU SEEK ANY FORM OF MONETARY RELIEF OR DAMAGES FROM LIVESTOQ LLC OR ADVANX CAPITAL HOLDING LLC, YOU AGREE WE MAY REJECT SUCH CLAIMS ENTIRELY, AND YOU WAIVE ANY RIGHT TO PURSUE THEM TO THE FULLEST EXTENT PERMITTED BY LAW. If any portion of this section is held unenforceable, the remaining provisions shall continue in full force.

12. TERMINATION

We reserve the right to suspend or terminate your access to the Platform at any time for violations of these Terms or for any other lawful reason. Upon termination, your right to use the Platform shall immediately cease.

13. CHANGES TO TERMS

We may modify these Terms from time to time. We will provide notice of material changes, and your continued use of the Platform after such notice constitutes acceptance of the updated Terms.
